1. Overview

1Webteam provides comprehensive, professional digital and technical services designed to help businesses strengthen their online presence, increase customer engagement, and drive measurable growth. We specialize in delivering innovative, results-driven solutions that combine creativity, strategy, and technology to meet the unique needs of each client, including:

  • - Website design, development, and updates
  • - Social media management and promotions
  • - Viral video creation and marketing
  • - Digital strategy consulting
  • - Internal network setup and IT support
  • - Video production, editing, and streaming solutions

Our mission is to help local businesses in New Jersey enhance their digital presence, increase customer engagement, and achieve measurable growth.


2. Scope of Services

We provide a broad spectrum of integrated services and specialized offerings, which can encompass, but are not restricted to, a diverse range of digital, creative, and technical solutions aimed at elevating your brand, streamlining your operations, and driving growth, including:

  • - Designing or rebuilding websites with necessary functionality and integrations
  • - Managing and optimizing all major social media platforms (Facebook, TikTok, Instagram, etc.)
  • - Creating and distributing professional videos designed for maximum reach and engagement
  • - Technical support, including networking, hardware builds, security, and streaming setup
  • - Consulting with municipalities and local organizations to modernize digital infrastructure

Any specific deliverables, timelines, or unique requirements will be outlined in the Client’s individual Project Agreement or Proposal. This document will serve as the official reference for the scope of work, outlining exactly what will be provided, and any special considerations or customizations necessary to achieve the agreed-upon objectives.


3. Payment Terms

To ensure a seamless and efficient project experience for both our clients and our team, 1Webteam adheres to the following structured payment policy, designed to provide clarity, maintain project momentum, and uphold our commitment to delivering high-quality results:


a. Upfront Payment:

  • - All projects require payment in full upfront prior to the commencement of any work. This ensures that project resources can be allocated immediately, timelines can be met without delay, and our team can fully dedicate their attention to delivering the agreed-upon results without interruptions.

  • - Alternatively, clients may choose to pay 50% upfront and 50% due within two (2) weeks from the official project start date. This two-week period represents the maximum timeframe permitted for any split-payment arrangement. The remaining balance must be paid in full within this window to keep the project active and on-schedule.



b. Payment Deadline:

  • If the remaining balance is not received by the end of the two-week period, all work, deliverables, and related services will be immediately suspended until the outstanding amount is paid in full. During this suspension, no further progress will be made on the project, and any agreed timelines may be delayed. Services will resume only once full payment has been confirmed.



c. Suspension & Resumption:

  • Upon suspension for non-payment, any deadlines, content schedules, or launch dates previously agreed upon will be placed on hold. This may cause delays in the completion of the project, require rescheduling of planned content releases, and potentially shift the overall project timeline. This will also incur a mandatory $250 reconnection fee.

  • Work will resume only after the outstanding balance, as well as the reconnection fee, has been fully cleared and verified by our team. Once payment is confirmed, we will review the project status, make any necessary adjustments to the schedule, and proceed with delivering the remaining work.

Any specific deliverables, timelines, milestones, or unique requirements will be clearly outlined in the Client’s individual Project Agreement or Proposal. This document will act as the official reference for the project’s scope, expectations, and responsibilities, ensuring that all parties have a shared understanding of the work to be performed and the objectives to be achieved.


4. Client Responsibilities

The Client agrees to:

  • 1 - Provide all necessary access, materials, and information required for the successful execution of the project. This may include, but is not limited to, branding assets, product details, and any other resources that are essential for meeting the agreed-upon deliverables.

  • 2 - Respond to communications, requests for feedback, and information inquiries in a timely manner to avoid unnecessary delays in the project’s progress. Prompt responses help ensure that milestones are met and that the final product is delivered on schedule.

  • 3 - Ensure that all content provided for use in the project, including text, images, videos, audio, and other media, is legally owned by the Client or properly licensed for use. The Client accepts full responsibility for securing the rights to all provided materials and will indemnify 1Webteam against any claims related to copyright or intellectual property infringement.

  • 4 - Pay for the project in full upfront or in accordance with the agreed-upon payment arrangement outlined in the Project Agreement or Proposal. All payments must be made within the specified timeframes to keep the project active and on-schedule. Failure to adhere to the agreed payment terms may result in suspension of work until the outstanding balance is cleared, and any associated delays or rescheduling will be the responsibility of the Client.


5. Ownership & Rights

  • - Upon receipt of full and final payment, the Client shall acquire complete ownership of all final deliverables specifically created for their project. This ownership shall not extend to any third-party licensed materials that may have been used during the project (including, but not limited to, stock photographs, commercial fonts, plugins, scripts, and software), which shall remain the sole property of their respective creators, licensors, or copyright holders.

  • - 1WebTeam retains the perpetual, non-exclusive right to display, promote, and otherwise showcase the completed work, whether in whole or in part, in our professional portfolio, marketing materials, social media platforms, case studies, presentations, and industry showcases. This right shall remain in effect unless the Client and 1WebTeam agree otherwise in writing, prior to the start of the project or at any later mutually acceptable time.



6. Service Availability

  • - We pride ourselves on delivering exceptional customer service and maintaining strong, ongoing relationships with our clients. Our team is available 24 hours a day, 7 days a week, 365 days a year, including weekends and all major holidays, to address urgent or critical matters that may impact your business operations. Whether it’s a sudden website outage, a social media emergency, or an unexpected technical issue, you can count on us to respond promptly and professionally.

    - For non-emergency requests, such as standard content updates, design changes, routine consultations, or general inquiries, these will be addressed during our regular business hours to ensure proper scheduling, quality control, and efficiency. By prioritizing urgent matters while maintaining structured workflows for standard requests, we ensure that all clients receive the attention, expertise, and responsiveness they deserve.

    Our commitment is simple: if it’s important to your business, it’s important to us, day or night.
  • - 1WebTeam retains the right to showcase completed work in our portfolio, unless otherwise agreed to in writing.



7. Termination of Services

Either party may terminate this Agreement at any time by providing written notice to the other party. In the event of termination, the following terms shall apply:

  • - All payments made prior to the termination date are non-refundable under any circumstances, including deposits, retainers, or partial payments.

  • - Work completed up to and including the date of termination will be delivered to the Client in its current state, provided that all outstanding balances, fees, and expenses are paid in full. This includes payment for any partially completed deliverables, billable hours, or incurred third-party costs.

  • - Any licenses, access credentials, or proprietary materials granted to the Client during the project will remain subject to the original terms of use, and may be revoked if outstanding balances are not settled.

  • - Termination of the Agreement shall not relieve either party from any obligations, warranties, or confidentiality requirements that, by their nature, are intended to survive termination.


8. Limitation of Liability

While 1WebTeam is committed to delivering exceptional quality, creativity, and professionalism in all projects, we cannot and do not guarantee specific financial results, sales figures, lead conversions, rankings, or “viral” success. The performance of any project deliverable, whether a website, marketing campaign, or digital asset, is influenced by a wide range of factors outside of our control, including market conditions, competitor actions, industry trends, search engine algorithm changes, advertising budgets, audience behavior, etc.

We will, however, provide our professional expertise, proven strategies, and industry best practices to help maximize the project’s potential for success. This includes conducting thorough research, implementing tailored solutions aligned with the Client’s goals, monitoring performance metrics, and making informed, data-driven adjustments throughout the project’s lifecycle. We will work collaboratively with the Client, maintaining open communication and transparency at every stage, to ensure that all deliverables meet agreed-upon standards and are positioned for the best possible outcomes within the scope of our control. While results cannot be guaranteed, our commitment to continuous improvement and strategic refinement will remain constant from project initiation to completion.



9. Agreement

By engaging 1WebTeam for any services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms of Service in their entirety. These Terms represent the full and complete agreement between the Client and 1WebTeam, superseding any prior discussions, proposals, or understandings, whether written or oral, relating to the subject matter herein.

Any amendments, modifications, or additions to these Terms must be formally agreed upon by both parties.

Continued use of 1WebTeam’s services after any such modifications have been communicated and agreed upon shall constitute acceptance of the updated Terms.




10. Confidentiality

Both 1WebTeam and the Client agree to maintain strict confidentiality regarding any non-public, proprietary, or sensitive information disclosed during the course of the project. This includes, but is not limited to, business strategies, marketing plans, client lists, financial data, trade secrets, technical processes, account credentials, and any other information that is clearly identified as confidential or would reasonably be understood as confidential by its nature.

Such information shall not be shared, disclosed, or used for any purpose outside the scope of this Agreement without the prior written consent of the disclosing party, except where required by law or court order. Both parties agree to take all reasonable measures to protect the confidentiality of such information, including the use of secure communication methods and storage practices.

The obligations of confidentiality shall survive the completion, expiration, or termination of this Agreement in perpetuity unless otherwise required by law or agreed in writing by both parties.
